Risk Factors

Investing in our Class A common stock involves a high degree of risk. You should carefully consider the risks
and uncertainties described below, together with all of the other information in this prospectus, including the
section titled “Management’s Discussion and Analysis of Financial Condition and Results of Operations” and
our consolidated financial statements and related notes, before making a decision to invest in our Class A
common stock. The disclosures in this section reflect our beliefs and opinions as to matters that could
materially and adversely affect us in the future, and are not representations as to whether such matters have
or have not occurred previously, except as otherwise disclosed. References to past events are provided by way
of example only and are not intended to be a complete listing or a representation as to their likelihood of
occurring in the future. Our business, financial condition, results of operations, or prospects could also be
adversely affected by risks and uncertainties not currently known to us or that we currently do not believe
are material. If any of the risks actually occur, our business, financial condition, results of operations, and
prospects could be adversely affected. In that event, the market price of our Class A common stock could
decline, and you could lose part or all of your investment.

Risks Related to our Business and Industry

Our success depends in large part on our ability to continue to develop the most advanced and

advance compute efficiency through algorithmic and architectural innovations, including compute
multiplier advancements;

retain the continued service of our co-founders, senior management team, and key technical
employees, and attract, retain, and motivate leading researchers, engineers, and technical talent in an
intensely competitive and evolving market;

continue revenue growth and maintain access to sufficient capital, including through potential equity
and debt financing, to make the investments we believe are necessary to support our growth trajectory;

secure and maintain relationships with data providers, licensors, and partners to obtain the diverse,
high-quality datasets necessary for world-class model performance;

secure and maintain relationships with cloud, ecosystem, and other partners to facilitate the diffusion
of Claude;

build, operate, and maintain the infrastructure required to deploy frontier models cost-effectively and
at scale;

translate model capabilities into products that meet evolving customer needs and achieve meaningful
adoption;

allocate substantial financial resources efficiently across research, infrastructure, and operations; and

navigate an evolving, uncertain, and at times divergent global regulatory landscape and engage with
legislators, regulators, and other stakeholders to promote the development of regulatory frameworks
that we believe are good for society, our customers, and the long-term health of the global economy.

How this was made

Read in full.
Kept in context.

A snapshot of the filing dated , rather than a live record of later events.

3primary reviewers
421pages reviewed
43image instances checked

The review

Three primary reviewers read non-overlapping ranges of the complete main filing. All 43 embedded image instances were transcribed and visually reviewed, including the founders’ letter, charts, and customer case studies. Financial tables were also checked visually for dates, units, and column alignment.

A separate reviewer checked the draft’s calculations, accounting interpretations, and customer qualifications. An additional check covered the later merged findings. The result is 62 findings and 21 customer examples.

The boundary

Companion contracts and other exhibits named in the filing’s index are separate documents and were not independently reviewed. Customer outcomes, technical benchmarks, forecasts, and scientific priority claims remain attributed company or customer disclosures.

The numbers

Dollar figures are U.S. dollars. H1 means the six months ended June 30; Q2 means the three months ended June 30. The 2026 interim financial statements are unaudited. Our calculations show their inputs and are labeled separately from reported values.

Blank fields stay undisclosed. Figures with different periods, conditions, or potentially overlapping scopes are kept separate. An earlier tender price is not an IPO price.

What the evidence labels mean
Reported in filing
A company disclosure, with the period and accounting basis retained.
Company estimate / company claim
An estimate or assertion attributed to the company, with its uncertainty preserved.
Our calculation
A derived figure using cited inputs. It is not a separately reported company metric.
Customer example
A selected case study, with its measurement limits. It is not representative ROI.
Proposed / conditional
A status qualifier for an arrangement that is not yet effective or depends on stated conditions.
